Electronic document management

1. Use of Electronic Document Management

Torgsoft uses electronic document management with a qualified electronic signature (QES/ECS). All standard documents, such as work completion certificates and invoices, are generated and sent electronically via the “Vchasno” service.

2. Grounds for Waiving Paper Documents

Signing individual contracts, certificates, or invoices is not mandatory, as Torgsoft provides services based on a public offer agreement published on the torgsoft.ua website. According to current Ukrainian legislation, payment for services or licenses constitutes acceptance of this offer.

Legal grounds:

• Civil Code of Ukraine, Articles 633, 641–642: define that a public contract is considered concluded from the moment the client pays for the services without the need for additional signing.

• Law of Ukraine "On Electronic Commerce", Articles 11–13: electronic contracts concluded through offer acceptance via payment are equivalent to written contracts.

• Law of Ukraine "On Electronic Documents and Electronic Trust Services": an electronic document with QES has the same legal force as a paper document.

Therefore, additional signing of paper documents is not required.

3. Optional Signing by the Client

If necessary, clients can sign documents via the “Vchasno” electronic document management service. This allows convenient document storage, permanent access, and confirmation of consent with an electronic signature. This format is efficient, lawful, and convenient for all parties.

4. Information on the Use of Software Products

All necessary public information on the terms of use of software products and services is publicly available on the official website of torgsoft.ua. This information is general and applies to both the company itself and all distributors and dealers working with Torgsoft products.

5. Signing of Individual Letters and Additional Documents

Separate signing of non-standard documents (certificates, letters, etc.) not covered by the terms of the public offer agreement is not performed, as the offer agreement and the conditions published on the website are sufficient to confirm the relationship between the parties.

The public offer agreement published on torgsoft.ua, combined with the fact of payment, is considered sufficient for establishing legal relations between the company and the client. According to the Civil Code of Ukraine and the Law "On Electronic Commerce", it is not mandatory to conclude separate written contracts. If needed, invoices, certificates, and other documents may be signed electronically via the “Vchasno” platform, which ensures their legal validity under the law on electronic documents and electronic signatures.
