The Tenant Disappeared from the Store Premises: How to End the Lease and Recover the Property

14.09.2026 10:00

If a tenant has moved out of a store, stopped paying, and stopped responding to messages, their absence alone does not end the lease. The owner needs to check the lease terms, establish a lawful basis for ending it, and gather evidence. Three consecutive months of nonpayment give the landlord the right to withdraw from the lease, but on this ground the lease ends when the tenant receives notice of the withdrawal.

Ending the lease, recovering the debt, and getting the premises back require separate steps. If the tenant’s goods, equipment, or personal belongings remain inside, do not change the locks, remove, or sell the property on your own. Below is a recommended course of action for the owner of private non-residential premises; the right approach depends on the lease, payments, whether the store could be used, and evidence that notice was delivered.

Check the lease and gather documents before sending a demand

First, establish who the tenant is under the lease. If a legal entity rents the premises, address the notice to that legal entity, not only to its director or a salesperson. If the lease is with an individual or an individual entrepreneur, identify that person and include their details. Correspondence with a store employee may help re-establish contact, but on its own it does not confirm that a party to the lease was notified.

To prepare for the next steps, gather the following in one file:

  • The lease, any amendments, and the handover report for the premises to the tenant.
  • Terms on the lease period, renewal, unilateral withdrawal, notice periods, and methods of giving notice.
  • The payment schedule, bank statements, and records of incoming funds, including an advance or security payment if the lease provides for one.
  • Correspondence about payment, moving out, returning keys, access to the premises, and circumstances that may have prevented their use.
  • The tenant’s known addresses and agreed electronic contacts, previous postal items, and delivery results.

Also check separately whether the lease is still in effect. Under Article 781 of the Civil Code of Ukraine (CCU), a lease ends if the individual tenant dies, unless the lease or law provides otherwise, and also if the tenant or landlord legal entity is liquidated. If you have information about such circumstances, verify it with documents: the tenant’s lack of contact does not prove them. Under Article 764 of the Civil Code of Ukraine (CCU), if after the lease term expires the tenant continues to possess and/or use the property, and the landlord does not object within one month, the lease is deemed renewed for its previous term. So the calendar expiry date alone is not enough: you need to assess whether the tenant continued to possess the premises and whether the owner objected.

Choose a legal basis for ending the lease

Articles 525 and 651 of the CCU allow unilateral withdrawal only where that right is provided by the lease or by law. As a result, a notice saying “the lease is terminated because you are not responding” does not resolve the issue unless there is a valid basis for withdrawal.

MethodWhen it can be usedWhat to keep in mind
Termination by mutual agreementThe tenant has responded and agreed to end the lease. The parties document the agreement and specify the end date, settlement, and procedure for returning the premises.
Unilateral withdrawal under the leaseThe lease expressly provides a right to withdraw, and its stated conditions have been met.Follow the stated grounds, notice method, notice period, and other terms of the relevant clause.
Withdrawal for nonpayment under Article 782The tenant has not paid rent for three consecutive months. The lease ends when the tenant receives notice of the withdrawal.
Withdrawal from an open-ended lease under Article 763The lease term is not specified. For real estate, written notice must be given three months in advance unless the lease or law sets a different period.
Termination by courtThere is a material breach of the lease or another ground provided by the lease or law.The claim must be substantiated and supported with evidence. As a general rule, obligations end when the court decision on termination becomes final and binding.

How to document an agreement if the tenant responds

If contact is restored, a practical option may be an agreement to terminate the lease alongside the return of the store. It is advisable to agree on the lease end date, the amount of any outstanding payments, the process for removing belongings, and handover of the keys. If a debt remains, state it separately so that returning the premises does not create uncertainty about the final settlement.

Under Article 654 of the CCU, termination must be in the same form as the lease unless the lease or law provides otherwise, or a different form follows from business customs. Article 793 requires a written form for the lease of a building or part of one, and notarization for private property leased for three years or more. Therefore, if the lease was notarized, agree on the form of the termination agreement with a notary, taking Article 654 into account.

When termination by court is needed

Article 651 allows a party to seek termination by court in the event of a material breach by the other party and in other cases established by the lease or law. A breach is material if the resulting harm has substantially deprived a party of what it expected when entering into the lease. The claim should explain the specific breach and its consequences for the owner.

Article 783 of the CCU also gives the landlord the right to seek termination if the tenant possesses and/or uses the property contrary to the lease or its intended purpose; transfers the property to another person’s possession and/or use without the landlord’s permission; creates a risk of damage through negligent conduct; or fails to begin a capital repair that was their responsibility. Each ground must be proved separately; the tenant’s disappearance alone does not establish any of them.

Check for three consecutive months of nonpayment

Article 782 gives the landlord a right to withdraw from the lease; it does not end the lease automatically after the third unpaid month. Before relying on it, check the due dates and actual payments received. Under Article 762, rent is paid monthly unless the lease provides for a different schedule.

It is advisable to prepare a month-by-month calculation showing the amount due, payment deadline, funds received, basis for crediting them, and outstanding balance. Partial payments, advances, disputed crediting of a security payment, or a different payment schedule require separate legal review. A total showing “debt equals three monthly rent payments” is not enough to establish three consecutive months without payment.

Hypothetical example: the lease requires UAH 12,000 per month, payable by the 5th of the current month. The tenant has paid nothing for April, May, and June, there is no advance, and no grounds for reducing or waiving rent have been established. After those three consecutive months, the calculation shows a debt of UAH 36,000: 12,000 × 3. This may support withdrawal under Article 782, but under that provision the lease ends only after the tenant receives notice.

Distinguish force majeure from being unable to use the store

War, an entrepreneur’s relocation, or a closed store do not automatically determine whether rent is owed. Establish what circumstances applied, when they applied, and how they affected the performance of obligations or use of the premises.

Under Article 617 of the CCU, a person may be released from liability for a breach if they prove it resulted from an accident or force majeure. A debtor’s lack of funds is not considered an accident. This provision does not by itself end the lease or release the tenant from rent.

Separate rules for payment for use are set out in Parts 4 and 6 of Article 762 of the CCU:

  • If the ability to use the property has been substantially reduced due to circumstances for which the tenant is not responsible, the tenant has the right to seek a rent reduction.
  • If the tenant could not use the property because of circumstances for which they are not responsible, they are released from rent for the entire relevant period.

In a possible case involving a damaged or inaccessible store, check documents on the condition of the premises, access restrictions, and how long the obstacles lasted. If part of the floor space remained usable while another part was inaccessible, assess whether the ability to use the premises was substantially reduced. If the premises could not be used at all, check whether Part 6 applies. The tenant’s voluntary move-out alone does not establish that the store could not be used.

This review also affects whether Article 782 applies: before relying on three months of nonpayment, the owner needs to establish whether rent was owed for that period. If the lease provides a specific right to withdraw due to prolonged force majeure, it can be assessed as a separate contractual ground with its own conditions.

Prepare the notice and evidence that it was received

For withdrawal under Article 782, the critical point is the tenant’s receipt of the notice. A posting receipt confirms that the notice was sent, not received. So an owner relying on termination of the lease needs evidence both of the grounds for withdrawal and of when the tenant received the notice.

A recommended notice should specify:

  1. The full details of the landlord and tenant, the lease number and date, and the address and description of the premises.
  2. The specific ground: Article 782 of the CCU, or the lease clause that grants the right to withdraw unilaterally.
  3. The periods of nonpayment, payment deadlines, and calculation if nonpayment is the ground.
  4. An unambiguous statement that you are withdrawing from the lease. A demand to pay the debt alone does not say this.
  5. When the lease ends under the chosen ground, without treating the posting date as the date of receipt.
  6. A demand to return the premises and a proposal to agree on a time for inspection, signing the handover report, returning keys, and removing belongings.
  7. A separate demand for the debt, a contact for replies, the date, signature, and a list of attachments.

First check the lease for its notice requirements. One possible method is postal delivery with an itemized contents list and proof of delivery, supplemented by sending through agreed electronic channels. Keep a signed copy of the notice, the contents list, the receipt, delivery information, and any response from the addressee. The contents list helps establish what was sent, while the delivery record helps establish receipt.

For a hypothetical case involving three consecutive months of nonpayment, the key wording could be: “I hereby notify you of my withdrawal from Lease No. … dated … under Article 782 of the Civil Code of Ukraine due to nonpayment of rent for …, …, and …. The lease is terminated when you receive this notice. I demand that you return the premises and propose agreeing on a date to document the handover in a return report. Please contact …”. Before using this text, adapt it to the actual payments, lease, and addressee.

What to do if the letter is returned undelivered

A returned-letter marking, the addressee’s absence, or expiry of the postal holding period does not confirm actual receipt. Do not set a termination date under Article 782 on that basis alone or hand the store to another tenant. Keep the returned envelope, however: it confirms the attempt to give notice and the reason it was not delivered.

A recommended next step is to check other known and agreed addresses and contact channels, as well as the lease’s notice terms. If there is no proof of receipt, especially because the tenant is in an occupied territory or cannot be reached, give the documents to a lawyer to assess termination by court and recovery of the premises. In a dispute, the owner will need to substantiate the chosen ground and the date of termination; proof of sending alone does not remove that need. Termination by court also requires a valid ground, not merely an unsuccessful attempt to deliver a letter.

Document the return of the premises and handle monetary claims separately

Article 795 of the CCU provides that the return of a building or part of one is documented by a report signed by the parties, and links the end of the lease to that moment. Article 782, however, expressly sets the time of termination for withdrawal due to nonpayment as the tenant’s receipt of notice. Therefore, establish the specific ground for termination and document the return of the premises separately. The absence of a bilateral report does not mean that a lawful withdrawal under Article 782 is impossible.

If the tenant agrees to return the store, the report should describe the condition of the premises, keys handed over, meter readings, and any belongings left behind. Under Part 1 of Article 785 of the CCU, after the lease ends, the tenant must immediately return the property in the condition in which it was received, allowing for normal wear and tear, or in the condition agreed in the lease.

If the tenant does not show up, a unilateral inspection report may record the condition observed, the presence of belongings, and the attempt to arrange the return. Do not present this document as a return report signed by both parties. Nor does it independently authorize you to forcibly clear the store.

It is advisable to calculate monetary claims separately:

  • Unpaid rent for the period when there was an obligation to pay, taking account of payments and any grounds under Article 762.
  • Other payments under the relevant lease terms and supporting documents.
  • A penalty for delay in returning the premises under Part 2 of Article 785, which allows the landlord to claim double the rent for the period of delay.

The double rent under Article 785 is a penalty for failing to return the property after the lease ends. Do not automatically charge it for the entire period of the tenant’s absence or mechanically add it to ordinary rent for the same period. To make this claim, substantiate the end of the lease, the delay in returning the premises, and the penalty calculation. The owner also needs to check what prevented the tenant from returning the premises: under Article 617 of the CCU, the tenant may be released from liability if they prove the breach resulted from an accident or force majeure. In a dispute, the court will assess these circumstances and the parties’ evidence.

Hypothetical example: if the agreed rent is UAH 12,000 per month, the double amount used to calculate the penalty is UAH 24,000 per month: 12,000 × 2. For an actual period, its start, end, and calculation method must be determined separately. This example does not mean that the stated amount will automatically be recovered.

Safeguard the tenant’s belongings and do not forcibly clear the store

Goods or equipment left behind should not be treated as the landlord’s property just because of a debt, the tenant’s silence, or termination of the lease. Articles 782 and 785 give the landlord the right to demand the return of the premises and relevant payments, but they do not give general permission to appropriate or sell belongings to repay a debt. A “public auction” also cannot be used on your own as a universal procedure for any property left behind.

The recommended approach is to avoid forcibly changing the locks, denying the tenant access, throwing away belongings, or removing them on your own. Before inspecting or moving property, establish a lawful basis for access and for handling it. Witnesses and video recordings can help document events, but they do not create a right to enter in breach of an active lease or dispose of someone else’s belongings.

If access is lawful and steps are needed to safeguard property, one possible procedure is:

  1. Notify the tenant through available agreed channels of the proposed inspection and collection of belongings.
  2. Prepare an inventory with the date, location, details of those present, name, quantity, visible condition, and identifying features of each item.
  3. Where possible, supplement the inventory with photos or video. For sealed packages, record only visible features; do not invent their contents.
  4. If moving the property has a proper legal basis, document who transferred it, when and where, who received it, and the agreed storage conditions.
  5. Keep records of actual expenses and inform the tenant of the location and proposed procedure for collecting the belongings.

Transferring belongings to a third-party custodian or storing them as the premises owner requires an assessment of the specific circumstances and legal basis. Do not assume in advance that all expenses will be reimbursed: any claim must be substantiated as to its basis, necessity, and amount. If the tenant objects or cannot be notified, determine how to handle the property with a lawyer.

Prepare court claims if the premises are not returned voluntarily

If the tenant does not receive the notice, disputes the end of the lease, or does not return the store, prepare a concise timeline for legal representation: entering into the lease, handover of the premises, payment deadlines, nonpayment, information on whether the premises could be used, contact attempts, and delivery results for notices. Attach a document to each event or explain what evidence is missing.

Depending on the circumstances, claims may be needed for termination of the lease, return of the premises, recovery of the debt, and a penalty for delay in returning the premises. If the lease has already ended on a valid ground, substantiate that fact and the claim for return. If it has not ended, assess the ground for termination by court. A claim concerning interference with the use of property should also be chosen after checking the lease’s status, not just because belongings remain inside.

Under Part 3 of Article 653 of the CCU, in the case of termination by court, obligations end when the decision becomes final and binding. Filing a claim does not itself end the lease. If the court order to return the premises is not complied with voluntarily, arrange for the premises to be cleared through the proper enforcement procedure, not through the owner’s unilateral actions.

Before handing the store to a new tenant, it is advisable to check the documentary basis for ending the previous lease, whether the premises have actually been returned, and how belongings left behind will be handled. This will help establish whether the owner can give the new tenant the agreed possession and use of the premises.

Scope of these rules and official source

This procedure applies to private non-residential premises. For state and municipal property, Article 759 of the CCU provides for specific rules under a separate law; land leases also require a review of special regulations. If the lease covers such property, do not apply the general procedure for a private store without a separate legal review.
