Sole Proprietorship Without VAT and an LLC With VAT in One Torgsoft Database: How to Manage the Same Product Without Duplicate Product Cards

Several businesses with different tax statuses may operate in one store. For example, some goods may belong to a Sole Proprietorship that is not registered for VAT, while others belong to a limited liability company (LLC) registered as a VAT payer. If the same product can be held in stock by both businesses, there is no need to create two product cards. Torgsoft allows you to maintain a single product catalog, track stock ownership separately for each business, and determine whether VAT applies to documents issued by a particular seller.

Being a Sole Proprietorship or an LLC does not determine VAT status

Tax status is not determined by the legal form of a business. A Sole Proprietorship may be registered for VAT, while a legal entity may not be. For example, for the third group of the single tax system, the Tax Code of Ukraine provides for a 3% rate with VAT payment and a 5% rate when VAT is included in the single tax. tax.gov.ua

Therefore, Torgsoft should reflect the actual tax status of each business rather than relying solely on whether it is a Sole Proprietorship or an LLC.

For VAT-registered businesses, the VAT rate is not necessarily 20%. The Tax Code provides for rates of 20%, 7%, 14%, and 0% for the relevant transactions. In Torgsoft, the specific rate is configured for the product type. tax.gov.ua

Which Torgsoft license is required?

To manage several businesses in one database, you need a Torgsoft Ultra or Torgsoft Terminal license. Torgsoft Start supports accounting for one business.

Configure the tax status of each business

Starting with version 2026.0.5, the business card includes the «VAT Payer» setting.

Open Settings → Enterprise, select the relevant business, and specify its actual status:

For a VAT-registered business:

VAT Payer → Yes.

For a business not registered for VAT:

VAT Payer → No.

If no value is specified: the software follows the previous logic — taxation is determined by the product type.

For a business with «Yes» selected, the VAT rate specified for the product type is applied to its fiscal receipts. For a business with «No» selected, VAT is not charged on goods in its fiscal receipts. This setting also affects VAT on invoices, delivery notes in «Invoiced Sales» mode, and sales delivery notes.

Also check the system setting «Consider VAT in Product Type». It affects how the «VAT Payer» setting works, so it should not be changed without checking the existing accounting configuration.

Configure the tax status of each business

There is no need to create the same product twice

The «VAT Payer» setting separates the business's tax status from the product card.

For example, the database contains one product card: Ground Coffee 250 g

The corresponding VAT rate is configured for its product type. If the sale is processed by a VAT-registered business, Torgsoft uses this rate. If the seller is a business with «VAT Payer → No», VAT is not charged on its fiscal receipt.

This means you do not need separate product cards named «Coffee — Sole Proprietorship» and «Coffee — LLC» solely because the businesses have different VAT statuses.

However, tax status is only one part of the configuration. The software must also know which business owns the actual stock.

When to link a product type to a business

Torgsoft also offers another mechanism: Settings → Parameters → Accounting → «Link Product Type to Enterprise and Split Sales Accordingly».

It is suitable when an entire product category always belongs to one business. For example, one product type is sold only by the Sole Proprietorship, while another is sold only by the LLC. Once configured, an «Enterprise» field appears in «Product Type», and the software splits the sale by these businesses at payment.

The choice therefore depends on how your products are managed:

  • if a particular product type always belongs to one business, you can link the product type to that business;

  • if the same product catalog item may belong to different businesses, you need stock separation by enterprise.

Configure a PECR for each business

Stock ownership in accounting must be consistent with fiscalization.

Torgsoft allows you to link a PECR to a business through Settings → Parameters → Receipt  or through its card under Settings → Enterprise.

One PECR cannot be linked to multiple businesses simultaneously; likewise, one configured PECR should not represent several sellers.

Therefore, the Sole Proprietorship and the LLC need their corresponding PECRs configured. When creating a receipt, Torgsoft identifies the business responsible for the transaction and uses the PECR linked to it.

For cashless payments, the business specified for the bank account is also taken into account. Torgsoft uses this logic to select the PECR when several businesses share one checkout.

If one payment terminal is used

If the bank and terminal protocol support multiple merchants, Torgsoft can associate each merchant with the corresponding bank account.

For example:

  • Sole Proprietorship account → Sole Proprietorship merchant;

  • LLC account → LLC merchant.

After splitting the sale, the software can send separate payment amounts to the terminal for the appropriate accounts. Torgsoft also supports using separate POS terminals for each seller when several businesses operate together.

The specific arrangement depends on the bank, terminal model, and integration protocol. Therefore, having a single physical terminal does not automatically mean that it supports multiple merchants.

Invoiced sales on behalf of the LLC

If a customer needs to purchase goods from a specific business, the documents must identify the actual seller.

For a VAT-registered LLC with «VAT Payer → Yes» selected, Torgsoft calculates VAT on the invoice and delivery note according to the rates configured for the product types. For a business with «No» selected, VAT is not charged in the corresponding documents.

You should not select the Sole Proprietorship or LLC solely based on whether the customer pays in cash, by card, or against an invoice. The software must identify the actual seller of the specific goods. The «VAT Payer» setting only controls Torgsoft's accounting logic and does not change the business's legal tax status.

If VAT or the business is determined incorrectly

Check the settings in sequence.

1. Torgsoft version. The «VAT Payer» setting was added in version 2026.0.5.

2. Business card. Under Settings → Enterprise, check the value of the «VAT Payer» field.

3. Product type. For a VAT-registered business, check the VAT rate assigned to the relevant product type. Torgsoft takes the rate from there.

4. PECR. Check the link between the specific PECR and the business. One PECR must not be assigned to both the Sole Proprietorship and LLC simultaneously.

5. Cashless payment. Check the business associated with the bank account and, if payment terminal integration is used, the corresponding merchant.

Quick setup procedure

When the same product can belong to both a Sole Proprietorship not registered for VAT and a VAT-registered LLC, the configuration sequence is:

businesses → actual «VAT Payer» status → VAT rates in product types → stock by business → bank accounts → PECRs → payment terminal merchants → test sale.

There is still only one product card. Torgsoft separates stock, documents, payments, and fiscalization by business, rather than duplicating product catalog entries.
